RESOLUTION
Receiving the Energy Storage Service Agreements (ESSA) Report and Authorizing
Execution of ESSA and Lease Agreements.
WHEREAS, Rochester Public Utilities (RPU) negotiated Energy Storage Services
Agreements (ESSAs) and Site Lease Agreements with Lightshift Energy SPV, LLC for
two behind-the-meter battery storage projects totaling 20 megawatts and 80 megawatt-
hours; and
WHEREAS, the ESSAs constitute energy supply contracts under the City Charter and
therefore require approval by the Common Council; and
WHEREAS, the report explains how the proposed battery projects support the City’s long-
term renewable energy goals and provide cost-effective operational and economic
benefits; and
WHEREAS, the RPU Board previously recommended approval of the ESSAs, contingent
upon confirmation from the SMMPA Board that the agreements are permissible under
existing SMMPA contracts; and
WHEREAS, the SMMPA Board is expected to adopt a resolution confirming that these
ESSAs are permissible under its member contracts, with a corresponding SMMPA letter
agreement to set forth the specific billing, settlement, and operational treatment
necessary to implement the proposed battery projects;
WHEREAS, requested approval of the ESSAs is conditioned upon RPU securing and
entering into said SMMPA letter agreement to ensure that charging and discharging from
the battery projects are treated in accordance with RPU’s request and consistent with
SMMPA’s approval;
NOW, THEREFORE, BE IT RESOLVED, by the Common Council of the City of Rochester
that:
1. The Council receives the ESSA Report presented on December 8, 2025.
2. Contingent upon execution of a satisfactory agreement with SMMPA authorized by
the RPU Board, the Council further authorizes the City, including Rochester Public
Utilities, to enter the ESSAs and related Site Lease Agreements with Lightshift
Energy SPV, LLC.
3. The Mayor and City Clerk are authorized to execute said agreements on behalf of
the City.
