Minutes of the- Annual Meeting of the Common Council of the City of.
Roches.te-r, Minnesota, held in the Council. Chambers in the City Hall, in. said City
on April 7, 1947..
President Lemmon called the meeting to order at 2:00 o'clock P.M., the
following members being. present: President Lemmon, Aldermen Akenhead, Fox, Fryer;.
Kennedy, Kjerner, and Yaeger. Absent: None. II

Upon motion by Fryer, second by Kjerner, the minutes of the meeting of
March 31, 1947 were approved.
President Lemmon in.opening the meeting welcomed the incoming Mayor,
Claude H. McQuillan, and Aldermen Harold Akenhead and Charles W. Fox, as members
of the governing body of the City of Rochester. After addressing the Mayor,
'members of the Common Council and those present, President Lemmon then introduced,

Mayor Claude H. McQuillan, who in his message pointed out that the Council is the!
legislative body and the Mayor is the chief.executive officer of the City. After 11

completing his address to the Council and those present at the meeting, Mayor.

McQuillan announced the following appointments to City Boards: Alderman Charles W.
Fox to the Public Utility Board for a term of three years; Mr. A. R. Nachreiner as

Commissioner at Large of the Board of Park Commissioners for a term of two years
and Mr. Andrew L. Koehnen as a Member of the Board of Park Commissioners for a
term of two years; Mr. A. J. Tingley as a member of the Board of Zoning for a term
of five years and Mr. Charles Blake as a member of the Board of Zoning to fill the
unexpired term ending in 1950; Air. Henry C. Laufenberger as a. member of the Music
and Band Committee for a term of three years and Mr. Einar C. Morgenson as a member

of the Music and Band Commit:Eee for a term of three years; Mr. Albert L. Toddie
as a Member of the Police Civil Service Commission for a term of three years; and'
Mr. P. F. Donovan as City Weed Inspector for a term of one year. Upon motion by

Fryer, second by Kjerner, the Mayor's appointments were approved.
President Lemmon announced the following Council Committees:

Mr. Wm. C. Schacht, Attorney representing the Rochester Police Departmei
presente& an outline of request for increase of pay, shorter hours, and for part
of the expense of the purchase and upkeep of uniforms.
Mr. Walter Haes ley appeared before the Council and requested a 20.%
increase and a forty hour week for the men employed by the Park Department, the
Street & Alley Department, and the Public Health & Welfare Department. Mr. Foard
representing those employed by the Public Utility Board also asked for a 20%
increase of salaries.
No action was taken on salary changes at this meeting.
President Lemmon read a letter from Mr. F. F. Palen, Member of the Publl
Health & Welfare Board, submitting a copy of a letter written by -Mr. F. F., Palen
to Mr. Claude H. McQuillan

I am in receipt bf your letter of April 1, 1947 which
reads as follows:
'Mr. F.F.-Palen

Rochester, Minnesota
Dear Sir:
Owing to the difficult_ situation relations that exist
between you and I and feeling that there can be no
cooperation in the policies that I hope to install in our
city government, I would appreciate having you present
your resignation to the City Council at the very next
mee ting.
Hoping that this matter can be disposed of without
the resultant publicity and embarrassment that may
develope I remain

I know of nothing in my record during the ten years
that I have served as a member of the Board of Public
Health and Welfare of Rochester, Minnesota that would
justifyyour request *for my resignation.
On Monday, March 31, 1947 the City Council of Rochester
confirmed my reappointment as a member of the Public
Health and Welfare Board. I presume the Council was fully
informed as to my qualifications for the position at the
time it acted. However, I feel that I am responsible to
the Council, as the governing body of Rochester, and any
time the Council feels that my tenure of office should be
terminated and so notifies me I will be glad to submit my
resignation. A copy of this letter is being sent to the
City Council so that it may be fully informed as to the
nature of your request and my attitude.

President Lemmon also read the following ruling submitted by Attorney
)scar C. Ronken on the following questions:

"To the Honorable mayor and
the Honorable Common Council of
the City of Rochester
The following questions have been referred to me and I
herewith return my answer;
1. What significance attaches to the fact that an
appointive office of the City of Rochester is a stockholder
and director in a corporation with which the city may have
a contract?
Ownership of ,stock in a corporation with which the city
has a contract is not permitted to any officer, either
elective or appointive, of the city of Rochester.
If there is not now any contract with such corporation
there is nothing to prevent such stockholder from being
appointed to any office in the city. But if thereafter the
city enters into a contract with such corporation, such
contract would probably be void, and the officer of the city
owning shares of stock in such corporation would, unless he
disassociated himself either from the office or from the
ownership of shares in the corporation, be subject to removal
from his office.
Where a contractor has a contract with the city for doing
a certain piece of work, any officer of the city is free to
sell to such contractor materials to be used in such work, and
such selling is not within any prohibition of the city charter.
2. Is the fact .that the city in the past year purchased
mat'e•rials from a corporation in which an appointive officer of
the city was a stockholder and director a sufficient basis for
removing such officer from a succeeding appointment to the same
office?
It is not possible to give a Yes or No to this question.
The charter provisions are not clear on this point; there is
not any decision in this state directly in point; and the
decisions from other states are divided.
There may no doubt be such misconduct by an officer that
he may be removed from his office because of it although such
misconduct took place in a previous term of office.. But -it
would seem that where a violation of a prohibition against
having any interest in a contract in which the city is interested
is unintentional, and is of a trivial nature, and there is not
now any contract existing between the city and the corporation
of which such officer is a. stockholder, and all this is known
to the council at the time of reappointment, a violation in a
previous term could not be a. valid basis for the removal of
such officer for his succeeding term.

Alderman Kennedy introduced the following resolution which was read;
"WHEREAS, It is deemed expedient and necessary that the
Common Council of the City of Rochester, Minnesota, adopt rules
of order for the conduct of its business, and
WHEREAS, A copy of Robert's Rules of Order (revised) of
the 1915 Copyright, is before this Common Council:
SO THEREFORE, Be it resolved by the Common Council of the
City of Rochester, Minnesota:
That the said Robert's Rules of Order be adopted by this
Common Council as rules of order for the conduct of its business."
Upon motion by Fryer, second by Yaeger, that the said resolution be
adopted as read, and all voting in favor thereof, President Lemmon declared the
said resolution duly passed and adopted.
Alderman Fryer introduced a resolution, which follows, which was read:
"Be it resolved by the Common Council of the City of Rochester,
Minnesota:
That the said Common Council of the City of Rochester, Minnesota,
hereby adopts the following rules and regulations for the order of
business of said Common Council:
1. Roll Call. The roll call of the Common Council shall be
had and taken in its alphabetical order according to the names of
the members, except that the name of the President of the Common
Council shall be called only at the first roll call of each meeting
and then after that, at that meeting, only in case of a tie vote

when his name shall be -called and vote taken after the expression
of each of the other members of the said Common Council, or when
a 5/7 vote is required:
2. Reading and approval of the minutes of the proceeding
meeting.
3. At first meeting, the appointment of officers and
committees.'
4. Public hearings.
5. Reading of petitions and communications.
6. Reports of committees. All reports of committees shall
hereafter be made in wri-ting, unless ordered otherwise by said
Common Council.
7., Unfinished business.
S. Resolutions and ordinances.
9. Bills and claims.
10. Adjournment."
Upon motion by Kjerner, second by Fryer, that the said resolution be
adopted as read, and all voting in favor thereof, President Lemmon declaz.-ed the
said resolution duly passed and adopted.
The application of F. R. Finch for reappointment to the office of City
Clerk was read and upon motion by Yaeger, second by Kjerner, F. R. Finch was
appointed to the office of City Clerk for the ensuing official year.
The application of Francis J. Magnuson for reappointment to the office
of City Engineer was read and upon motion by Fryer, second by Kennedy, Francis J.
Magnuson was appointed City Engineer for the ensuing official year.
The application of Desmond B. Hunt for reappointment as City Attorney
and the application of Frank G. Newhouse for appointment as City Attorney, were
each reed and upon motion by Fryer, second by Kjerner, Desmond B. Hunt was
appointed as City Attorney for the ensuing official year, all voting in favor
thereof except Alderman Fox who voted "no".
The application. of Garnet Spring for reappointment to the office of
Building Inspector was read and upon motion by Fox, second by Yaeger, Garnet Sprir
as appointed Building Inspector for the ensuing official year.

The recommendation of Francis J. Magnuson, City Engineer that 30 men be
employed in the City Engineer's Department and that these men each work 2224 hoursi
per year was read and upon motion by Fryer, second by Kennedy, the same was j

approved.
President Lemmon stated this as being the time and place set for receiving
and opening bids for furnishing cutback asphalt to the City of Rochester for the
I
year 1947. The following bids were received and opened: Northwestern Refining
Company in the amount of $10915 per gallon; Western Oil & fuel Company in the
amount of $.0919 per gallon; and Standard Oil Company in the amount of_ $.0a32 per
gallon. President Lemmon referred the above bids to the Street & Alley Committee
and the City Engineer for tabulation and report.
The recommendation of the Street & Alley Committee and the City Engineer''
that 'the bid of Standard Oil Company for the sum of $.0832 per gallon for
furnishing'150,000 Gallons MC 3 Cutback Asphalt be accepted. was read and upon
motion by Fox, second by Yaeger, the same was approved.
Upon motion by Fryer, second by Yaeger, the City Clerk was instructed to
return the certified checks of the unsuccessful bidders. j

that the present street signs along Broadway Street South and Broadway.Street

by Kjerner, the recommendation was accepted and the City Clerk was instructed to
advertise for bids to be opened on April 21; 1947.
The recommendations of the City Engineer for the installation of a curb
and gutter in Sth Avenue Southeast from 6th Street .Southeast to 9th Street
Southeast; the installation of a curb and gutter in loth Street 'Northwest from
Broadway Street North to 2nd Avenue Northwest; the installation of a curb and

gutter in 6th Avenue Southwest from 7th Street to 9th Street Southwest; the
installation of sanitary sewer, storm -sewer and watermain in Plummer's Bane from
Plummer's Circle to 400 feet South; and the installation of sanitary sewer and
watermain and the grading of loth Avenue Northeast from 9th Street Northeast to
loth Street Northeast, bids for the same to be opened on April 21, 1947 were
each read and upon mo-tion by Fryer, second by Kennedy, the City Engineer's
recommendations were each approved.
The resignation of Walter Hae"sley as amember of the Board of Zoning of
Rochester. Minnesota, effective April 7, 1947 was read and upon motion by Kennedy,'
second by Kjerner, the same was accepted.
A resolution adopted by the Rochester Building and Construction Trades
Co-uncil recommending wage scales for the ensuing y6ar was read and the same was
ordered placed on file.
A request by the Rochester Fire Fighters'Association that they be
allowed two additional 24 hour days off per month was read and the same was ordere
laced on file.
A communication from the American Federation of State, County and
ni cipal Employees,. Local 897 authorizing Mr. Walter Haesley to actas their
epresentative regarding salaries and hours was read and the same was ordered plac
n f ile.
The following communication from John A. Marsh, Plumbing & Heating
Inspector. was read and the same was ordered placed on file:
"To the Honorable Common Council
of the City of Rochester, Minnesota
Gentlemen:
In connection with the application of Aarness and Fischer
for a Heating Contractors License, please be advised that
they do not comply with the residence provisions -of the
ordinance and the Investigation Committee can make no
recommendation unless these provisions be complied with.

An Ordinance entitled, "An Ordinance regulating transportation systems
to be operated over the streets of the City of Rochester, requiring such'
transportation systems to be licensed and providing penalty therefor", was given
its first reading.

Upon motion by Fryer, second by Yaeger, and upon roll call and all
voting in favor thereof, the rules were suspended and the ordinance was given
its second reading.
Upon motion by Fryer, second by Yaeger, the City Attorney and the City
Clerk were instructed to prepare resolutions of appreciation for retiring Mayor
Pawl A. Grassle and retiring Alderman Howard L. Narveson.
Upon motion by Yaeger, second by Kjerner, the meeting was adjourned •
until 7:30 o'clock P. M. on April 14, 1947.
